1. Acceptance of Terms

By accessing or using the services provided by TIJWA Ltd ("Tijwa", "we", "us", or "our"), including our website at tijwa.com, software applications, WhatsApp chatbot systems, M-Pesa integration services, mobile applications, and custom software development services (collectively, the "Services"), you agree to be bound by these Terms of Service.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

2. Services Description

Tijwa provides technology services including but not limited to:

  • WhatsApp AI chatbot development and deployment
  • M-Pesa payment integration (STK Push, Paybill, Till)
  • Mobile application development (Android, iOS, cross-platform)
  • Website design and development
  • Business process automation systems
  • Custom software and ERP system development
  • Ongoing maintenance and support services

3. Quotations and Pricing

All quotations provided by Tijwa are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in Kenya Shillings (KES) and are exclusive of VAT unless explicitly stated otherwise. Tijwa reserves the right to modify pricing for new quotations based on changes in scope, requirements, or market conditions.

4. Payment Terms

Payment terms are as specified in each individual service agreement. Unless otherwise agreed in writing:

  • A 50% deposit is required before work commences on any project
  • Remaining balance is due upon project completion and delivery
  • Monthly maintenance fees are invoiced in advance on the 1st of each month
  • Late payments attract a 2% monthly interest charge

5. Intellectual Property

Upon full payment, the client receives ownership of the custom software, designs, and deliverables specifically created for that client under the service agreement. Tijwa retains ownership of all pre-existing intellectual property, frameworks, libraries, and tools used in the development process.

6. Warranty and Support

Tijwa provides a 30-day warranty on delivered software for defects in workmanship. Ongoing maintenance and support are provided under separate service agreements. Warranty does not cover issues arising from third-party services, hosting failures, or client modifications.

7. Limitation of Liability

To the maximum extent permitted by Kenyan law, Tijwa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use of or inability to use the Services. Our total liability shall not exceed the amount paid by the client for the specific Service giving rise to the claim.

8. Data Protection

Tijwa processes personal data in accordance with the Kenya Data Protection Act, 2019. Our collection, use, and storage of personal data is governed by our Privacy Policy.

9. Termination

Either party may terminate a service agreement with 30 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. Non-payment after 60 days constitutes grounds for immediate termination.

10. Governing Law

These terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
